Dec. 3: U.S. District Court Opinion and Injunction Barring Enforcement of Corporate Transparency Act (Texas Top Cop Shop, Inc., et al. v. Garland, et al., Dec. 3, 2024, E. Dist. Texas).

N.b.:  This injunction was briefly stayed on Dec. 23 by an order of the Fifth Circuit Court Of Appeals, but the Fifth Circuit vacated the stay on Dec. 26. Accordingly, the district court’s injunction stands for the time being, until the Fifth Circuit Court Of Appeals hears arguments and makes its decision. Until then, the injunction against enforcement remains in force, and BOI reports are voluntary. Clients who exercise their right to decline to file a report at this time (or who have instructed us not to file unless and until it is required) should nonetheless be prepared to file immediately, or have a standing instruction to us to file immediately on their behalf, in the event that the Fifth Circuit overrules the District Court and upholds the Corporate Transparency Act. Clients for whom we have not previously filed a report should contact us to discuss their options.
