Nang Kay Si Kham

Nang Kay Si Kham is a law clerk in our corporate and securities practice. Her practice focuses on corporate and financial transactions and cross-border regulation of private investment funds and FinTech products.  

She graduated from Fordham University School of Law with an LL.M degree and earned her LL.B, LL.M, and Master of Research in Law degrees in Yangon, Myanmar. 

Prior to joining Schwartz LLC, Kay Si was an associate at a major law firm in Myanmar, specializing in corporate law and compliance. She was a judicial intern at the New York State Supreme Court in Nassau County and has worked at several local law firms. 

Kay Si’s prior work experience in Myanmar includes drafting and reviewing commercial lease agreements, non-disclosure agreements, loan agreements, supply agreements, and Joint venture agreements, as well as advising Myanmar and multinational corporations (including leading corporations in various sectors such as, telecom, hospitality, technology, pharma, real estate, health care as well as foreign governments) on day-to-day corporate issues. She has negotiated deals, drafted agreements, structured transactions relating to acquisition of businesses, assets, mergers, joint ventures, and private equity in Myanmar, as well as advising foreign investors on issues relating to investments and setting up of entities in Myanmar (including obtaining various regulatory approvals). She has experience in drafting and reviewing contracts such as, employment contracts, Shareholders Agreements, Share Purchase Agreements, Joint Venture Agreements, Technology Transfer Agreements, Loan Agreement and other commercial contracts, and has carried out due diligence and drafted reports for transactions such as mergers and acquisitions and private equity investments. While practicing in Myanmar, Kay Si also advised clients on critical employment issues such as employee termination, benefits, and restructuring of the employment policies.  

Furthermore, Kay Si has experience in many aspects of the litigation process regarding civil and commercial matters in New York State. Kay Si has been involved in drafting pleadings, briefs, and demand letters. She has also assisted with intellectual property matters, including trademark applications and infringement claims, and has prepared formation documents for both for-profit and non-profit entities.
